Terms of Service

Effective Date: January 1, 2026

1. Agreement to Terms

By accessing the Fresh Idea Hub website or participating in our corporate capabilities programs, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Intellectual Property and Curriculum Rights

All learning architectures, methodologies, downloadable frameworks, and workshop materials provided by Fresh Idea Hub are the exclusive intellectual property of our consultancy. These materials are provided for internal organizational capability building only and may not be resold, distributed publicly, or repurposed without explicit written consent.

3. Professional Engagements

Terms pertaining to specific consulting engagements, leadership programs, and evaluation services will be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW) executed between Fresh Idea Hub and the client organization.

4. Disclaimer of Warranties

While our programs are evidence-based and designed for high impact, we do not guarantee specific business outcomes or individual promotions resulting from our training interventions. Learning retention and behavioral shift depend on participant engagement and systemic organizational support.

5. Governing Law

These terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

6. Program Enrollment and Cancellation

Enrollment in a scheduled cohort or intensive is confirmed upon receipt of a signed Statement of Work. Client organizations may reschedule a cohort up to 14 days before the start date without penalty; cancellations within 14 days of the start date may be subject to a facilitator-hold fee as outlined in the applicable SOW, reflecting the fact that our Lead Learning Architects reserve dedicated preparation time for each engagement.

7. Limitation of Liability

To the fullest extent permitted by law, Fresh Idea Hub's aggregate liability arising out of or relating to these Terms or any engagement shall not exceed the fees paid by the client organization for the specific program giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from the use of our curriculum materials or the outcomes of behavioral change initiatives.

8. Indemnification

Client organizations agree to indemnify and hold Fresh Idea Hub harmless from any claims, damages, or expenses arising from misuse of our proprietary frameworks outside the scope of an active engagement, or from a breach of the confidentiality obligations described in our Privacy Policy.

9. Termination

Either party may terminate an active Master Services Agreement for material breach that remains uncured 30 days after written notice. Provisions relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination of any engagement.

10. Changes to These Terms

We may revise these Terms of Service from time to time to reflect changes in our program offerings or applicable regulation. Continued use of our website or participation in a new cohort after an update constitutes acceptance of the revised terms; the Effective Date above will always reflect the current version.

11. Severability

If any provision of these terms is found unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect, and the unenforceable provision will be replaced with one that most closely reflects the original intent.

12. Assignment

Client organizations may not assign rights or obligations under an active engagement without our written consent. We may assign these Terms in connection with a change in ownership of our consultancy, provided that any active MSA or SOW commitments are honored by the assignee.

13. Force Majeure

Neither party is liable for delay in performing scheduled cohorts or deliverables where the delay results from circumstances reasonably beyond that party's control, including natural disaster, labor action, or government restriction. The affected party will notify the other promptly and reschedule as soon as reasonably practicable.

14. Entire Agreement

These Terms, together with any executed Master Services Agreement or Statement of Work, constitute the entire agreement between Fresh Idea Hub and the client organization regarding the subject matter herein.
